Terms of Service

These Terms are a binding agreement between BAGADI LLC, the Texas limited liability company that operates Lakop, and the business or organization accepting them. If you create a workspace or use Lakop for an organization, you confirm that you can bind it. These Terms incorporate the Billing Terms, Acceptable Use Policy, Privacy Policy, and Data Processing Addendum.
Service and eligibility
Lakop provides multi-tenant CRM, ERP, accounting, inventory, purchasing, order-management, eBay US integration, and merchant storefront software. You must be legally able to contract and use the service for lawful business purposes. The service is not intended for consumers acting for personal or household purposes.
Features identified as preview or beta may change and are provided without a service commitment.
Accounts and authorized users
You are responsible for accurate account information, safeguarding credentials, configuring roles, and all activity by authorized users. Notify us promptly of suspected unauthorized access. You may not share individual credentials or permit access by suspended users.
You retain responsibility for your business, products, taxes, customer service, regulatory duties, records, and decisions made using Lakop.
Connected services and payments
When you connect eBay, Stripe, or another service, you authorize Lakop to access and act on data within the permissions you grant. Your use remains subject to that provider’s terms. Providers may change, restrict, or discontinue their services.
Storefront payments use Stripe Connect. You authorize Lakop to create and administer the platform connection and exchange information needed to process transactions, manage refunds and disputes, and provide support. Lakop does not hold merchant funds. Stripe and marketplaces charge their own fees.
Customer data and privacy
You own or control data submitted to your workspace. You grant Lakop the limited rights needed to host, process, transmit, back up, and display it to operate and improve the service. You confirm you have all notices, consents, and rights required for that data and for communications you direct Lakop to send.
Our processing obligations are in the Data Processing Addendum. We may use de-identified, aggregated information that cannot reasonably identify you or a person to operate and improve Lakop.
Subscriptions, changes, and taxes
Trials, fees, usage allowances, renewals, additional users, plan changes, cancellation, refunds, and taxes are governed by the Billing Terms and the pricing shown when you subscribe. We may change future pricing with advance notice; changes apply no earlier than the next renewal.
Acceptable use and suspension
You must follow the Acceptable Use Policy. We may suspend access to address a security risk, unlawful conduct, nonpayment, platform abuse, or a threat to Lakop, users, or connected providers. Where practical, we will give notice and a chance to cure.
Intellectual property and feedback
Lakop and its licensors retain all rights in the service, software, documentation, brands, and designs. These Terms grant only a limited, nonexclusive, nontransferable right to use the service during the subscription. If you provide feedback, you allow us to use it without restriction or payment, without identifying you publicly.
Accounting and professional advice
Lakop records and reports business events based on your configuration and source data. It does not provide legal, tax, accounting, investment, or other professional advice. You are responsible for review, professional judgment, filings, and compliance. Corrections to append-only ledgers are made with reversing or adjusting entries.
Warranties and disclaimers
We warrant that we will provide the service with commercially reasonable care and materially in accordance with our documentation. Your exclusive remedy for a verified breach is correction, re-performance, or termination with a prorated refund for the affected prepaid period.
Except for that express warranty and to the maximum extent allowed by law, the service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness, title, noninfringement, and uninterrupted or error-free operation. We do not control third-party services.
Indemnity and liability
You will defend and indemnify Lakop against third-party claims arising from your products, customer data, unlawful use, violation of these Terms, or infringement caused by content you provide. We will promptly notify you and allow reasonable control of the defense.
To the maximum extent allowed by law, neither party is liable for indirect, special, incidental, punitive, or consequential damages or lost profits, revenue, goodwill, or data. Each party’s aggregate liability is limited to fees paid or payable for the service during the 12 months before the event. These limits do not apply where prohibited or to fraud, willful misconduct, confidentiality breaches, indemnity obligations, or infringement of the other party’s intellectual property.
Term, termination, and data return
These Terms begin when accepted and continue while you use the service. You may cancel under the Billing Terms. Either party may terminate for an uncured material breach after 30 days’ written notice, or immediately for insolvency or an incurable breach.
After termination, access ends. Export data before closure. We delete or de-identify customer data according to the DPA, backups, and legal retention duties. Provisions that logically survive will survive.
General terms and disputes
Neither party is liable for delay caused by events beyond reasonable control. You may not assign these Terms without consent, except with a merger or sale of substantially all assets; Lakop may do the same. If a provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. These Terms are the complete agreement for the service and order forms control over conflicting general text for their specific subject.
The agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law rules. The state and federal courts located in Travis County, Texas have exclusive jurisdiction and venue, unless an order form states otherwise. Before filing a claim, contact legal@lakop.app and allow 30 days for good-faith resolution. Mandatory rights and small-claims remedies are not waived.
Notices and changes
We may update these Terms for legal, security, or product reasons. Material changes receive reasonable advance notice and apply at renewal unless immediate effect is legally required. If you object, your remedy is to stop use and cancel before the effective date.
